Introduction

The Company Secretary is responsible for the company secretarial and compliance function for the Group. As part of this function, the Company Secretary is responsible for providing the Company Board members and the Group Executive Committee with guidance on their duties, responsibilities and powers and to make them aware of laws and regulations, relating to the JSE Listing requirements, the Companies Act, King IV, and other legislation relevant to the exercise of their duties.
All advice and assistance should be in accordance with the Groups Values and the Code of Ethics.
With respect to the Company, the Company Secretary is responsible for the matters envisaged in section 88 of the Companies Act.

Duties & Responsibilities

Key Responsibilities

  • Carry out the functions of the Company Secretary as envisaged in the JSE Limited Listings Requirements (“Listings Requirements”) and the Companies Act.
  • Oversee Companies Act compliance (in conjunction with the finance function in respect of financial and financial reporting matters) and oversee the provision of company secretarial support and record keeping to the other South African entities in the Group.
  • Ensure that he/she meets the requirements set out in the JSE regulations and the Companies Act regarding his/her own independence, competence and residence.
  • Advise the Board of Directors and executive management in the Group on developments and compliance relating to corporate governance and legislation relating thereto.
  • Keep abreast of best practice corporate governance developments by doing research to ensure the integrity of advice to the Board and the Executive Committee.
  • Prepare, administer, collate, analyse and report to ensure compliance with the Companies and other relevant Acts, including Consumer Protection legislation and the Competition Act.
  • Preparation of resolutions and ensuring compliance with the Companies Act
  • Provide advice, guidance and support to the Business Units on regulatory and governance matters.
  • Responsible for the governance sections of the Integrated Report.
  • Company – Ensure the effective running of the Board of ExecutiveCommittes
  • Group of Companies – Corportae governanceassistance and advice.
  • Administration – Assistance to the Board, Committees, Executive Committees and head office functions

Education and Experience

  • Practical understanding of the Companies Act and King IV
  • Completed Bachelor’s Degree
  • The following will be advantageous:
  • Legal qualification. Admission as an Attorney of the High Court of South Africa
  • Corporate governance or corporate law experience
  • Completion of the Institute of Chartered Governance Institute of Southern Africa’s exams
  • 5 years’ experience in a JSE listed environment
  • Working knowledge and interaction with CIPC
